Terms of Service

These Terms of Service (“Terms”) form a legal agreement between you (“you,” “your,” or “User”) and GalaxyGrails.io LLC, a Delaware limited liability company (“GalaxyGrails.io,” “we,” “our,” or “us”).

By accessing or using the GalaxyGrails.io website, platform, mobile applications, or services (collectively, the “Platform”), you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not access or use the Platform.

PLEASE BE ADVISED that these Terms contain provisions that govern how Claims you and we have against each other are resolved. Section 20 (Arbitration and Dispute Resolution) contains: (i) a binding individual-arbitration agreement before the American Arbitration Association (AAA); (ii) a 60-day informal pre-suit Notice of Dispute requirement; (iii) a class action waiver; and (iv) a jury trial waiver. You may opt out of the arbitration agreement within 30 days by emailing [email protected] as described in Section 20.

1. Definitions​

For purposes of these Terms, the following capitalized terms have the meanings given below.

  • "Account" means the GalaxyGrails.io account registered in your name.
  • "Account Funds" means the closed-loop on-Platform balance you may use to purchase Packs or withdraw to your linked Stripe account, as described in Section 9.
  • "Affiliates" means, with respect to any entity, any other entity directly or indirectly controlling, controlled by, or under common control with such entity.
  • "Buyback Price" means, on an Item-by-Item basis, the price at which GalaxyGrails.io offers to repurchase a particular Item from you, as displayed on the Platform at the applicable time.
  • "Buyback Window" means the 24-hour period beginning when an Item is revealed in a Pack, during which the Buyback Price is locked as described in Section 7.
  • "Card" or "Item" means a graded trading card or other collectible associated with a particular Pack and held in custodial storage by GalaxyGrails.io's vault custodian.
  • "CardLadder Value" means the estimated value of an Item as provided by Ladder Studios, Inc.'s Card Ladder™ service.
  • "Event" means a live pack-opening event on the Platform during which Packs are sold and Items are revealed.
  • "Loyalty Program" means the points and monthly leaderboard program described in Section 8.
  • "Pack" means a digital purchase on the Platform that, upon reveal, allocates a single Item to your Account.
  • "Platform" has the meaning given in the preamble above.
  • "Points" means the non-monetary loyalty currency described in Section 8.
  • "Referral Program" means the referral and affiliate program described in Section 27.
  • "Stripe" means Stripe, Inc., GalaxyGrails.io's third-party payment processor and identity-verification provider.
  • "Value" means, at any given time, the estimated value of an Item, which may be informed by the CardLadder Value or other reputable data sources.
  • "Vault" means the climate-controlled, insured storage facility where Items are held in custodial storage by GalaxyGrails.io's vault custodian.
  • "you" means the individual person agreeing to these Terms.

2. Overview of the Platform​

GalaxyGrails.io is a digital collectibles platform offering pack-opening Events in which each Pack contains a real graded trading card authenticated by PSA, CGC, or BGS.

When you purchase a Pack, an Item corresponding to that Pack is revealed and allocated to your Account. Items remain in custodial storage in the Vault until you request shipment or sell them back through our Buyback Program.

Key points:

  • All payments and withdrawals are processed through Stripe in U.S. dollars only.
  • The Platform is intended for collectors aged 18 or older residing in the United States.

3. Eligibility and Account​

To use GalaxyGrails.io, you must:

  • Be at least 18 years old and a U.S. resident;
  • Create an Account with accurate and verifiable information;
  • Maintain the confidentiality of your login credentials;
  • Not share or transfer your Account to another person; and
  • Comply with all applicable laws and these Terms.

You are solely responsible for any activity, transactions, or other uses made using your Account, as well as for any obligations that may result from such use, including activity initiated by any third party, minor, or household member who accesses your Account through your device or credentials, to the extent permitted by applicable law. You are responsible for keeping your Account information and password secret and confidential, and you must immediately notify us at [email protected] of any unauthorized use of your password or Account or any other breach of security. We are not liable for any loss or damage arising from your failure to comply with this provision or from any unauthorized use of your Account resulting from your failure to secure your credentials or devices.

Identity verification is required as described in Section 4 (Identity Verification (KYC)). You must notify us immediately at [email protected] if you suspect unauthorized access to your Account.

If we discover that a user is under 18 years old, we will immediately terminate their Account and, where feasible, void or reverse any pending purchases. The Platform is available only in jurisdictions where its use is lawful. You are solely responsible for ensuring your participation complies with all applicable local, state, and federal laws.

4. Identity Verification (KYC)​

GalaxyGrails.io is committed to maintaining a safe and compliant marketplace. Before making your first deposit on the Platform, you must complete our Know Your Customer ("KYC") identity verification process, powered by Stripe Identity.

When Verification Is Required​

  • Before your first deposit. Identity verification is required before you can deposit funds, purchase Packs, accept Buyback offers, or withdraw funds. Until verification is complete, deposit functionality is locked.
  • Validity. Once you are successfully verified, your verification is valid for approximately three (3) years. After that period, you may be required to re-verify in order to continue depositing or withdrawing.
  • Shipments. GalaxyGrails.io may, in its discretion and at any time, require completed identity verification before fulfilling shipment requests, in addition to the deposit-time verification described above.
  • Additional verification. We reserve the right to require re-verification or additional verification at any time if we reasonably suspect fraud, unauthorized account access, a change in account ownership, or as otherwise required for legal or regulatory compliance.

Verification Process​

Identity verification is conducted through Stripe Identity, a third-party service. During the verification process, you may be asked to:

  • Provide your full legal name, date of birth, and address;
  • Upload a clear photo of a valid, government-issued photo ID (e.g., driver's license, state ID, or passport); and
  • Submit a live selfie for biometric comparison against your photo ID.

By initiating the verification process, you consent to the collection, processing, and storage of your personal information and biometric data by Stripe in accordance with Stripe's privacy policy and applicable law. GalaxyGrails.io does not directly store copies of your identity documents or biometric data; this information is processed and retained by Stripe subject to its own data-handling practices.

Verification Decisions​

  • Approved. Once your identity is verified, you may use all financial features of the Platform (deposits, Pack purchases, Buyback, withdrawals, and shipments) subject to these Terms.
  • Declined or Incomplete. If your verification is declined or cannot be completed, you will not be able to deposit funds, purchase Packs, accept Buybacks, or withdraw funds. You may re-attempt verification or contact [email protected] for assistance.
  • Fraudulent or Misrepresented Information. Submitting false, altered, or another person's identity documents constitutes a violation of these Terms and may result in immediate account suspension or termination, forfeiture of items or funds to the extent permitted by applicable law, and referral to law enforcement.

Biometric Privacy Notices​

The live-selfie step described above involves the collection of biometric identifiers and biometric information (collectively, "Biometric Data") for the limited purpose of verifying your identity against the government-issued photo ID you submit. The following notices apply to that collection:

  • Illinois Residents (BIPA — 740 ILCS 14). If you are an Illinois resident, GalaxyGrails.io and Stripe, through Stripe Identity, collect, store, and use Biometric Data solely for the purpose of identity verification. Biometric Data is processed and retained by Stripe in accordance with Stripe Identity's data-handling practices and will be permanently destroyed when the initial purpose for collecting or obtaining such Biometric Data has been satisfied or within three (3) years of your last interaction with the Platform, whichever occurs first. Neither GalaxyGrails.io nor Stripe will sell, lease, trade, or otherwise profit from your Biometric Data. By initiating identity verification, you provide your written informed consent to the collection, storage, and use of your Biometric Data as described in this Section.
  • Texas Residents (CUBI — Tex. Bus. & Com. Code §503.001). If you are a Texas resident, you consent to the capture of your Biometric Data for the identity-verification purposes described above. Biometric Data is retained no longer than reasonably necessary for those purposes and is protected using a reasonable standard of care.
  • Washington Residents (Wash. Rev. Code §19.375). If you are a Washington resident, you provide notice to and consent that biometric identifiers may be enrolled in a database for the identity-verification purposes described above and will not be used for any commercial purpose unrelated to identity verification.

If you do not consent to the collection of Biometric Data, you may choose not to complete identity verification; in that case, you will be unable to deposit funds, purchase Packs, accept Buybacks, or withdraw funds on the Platform.

Data Handling​

Identity verification data is processed and retained by Stripe subject to Stripe's Privacy Policy and Stripe Identity's data-handling practices. Stripe's policies govern the retention and deletion of biometric data, identity documents, and other verification information — please review them directly for current details, as they may be updated from time to time.

You may request deletion of your verification data by contacting [email protected] or by contacting Stripe directly at [email protected]. Deletion may be delayed or declined where retention is required by law.

GalaxyGrails.io receives verification results (approved/declined status and extracted personal information) from Stripe to operate the Platform. GalaxyGrails.io will not sell your identity verification data to third parties. For full details, please refer to our Privacy Policy.

5. Pack Events​

Each Pack purchased on the Platform contains a single real graded trading card authenticated by PSA, CGC, or BGS and held in custodial storage in the Vault. Upon purchase, an Item corresponding to your Pack is revealed and allocated to your Account.

Randomization and Fairness​

The selection of which Item corresponds to a particular Pack is determined by a verifiable randomization process described in our Provably Fair guide. The Provably Fair page describes the technical fairness model in detail and is provided for transparency; it is informational and does not form part of these Terms. No GalaxyGrails.io team member has prior knowledge of or intervention in the Item selection process.

Estimated Values​

Estimated values for Items are sourced from reputable data providers such as CardLadder. Estimated values are point-in-time estimates only and may not equal the price achievable for an Item in any third-party marketplace. The Value of any particular Item you receive is not guaranteed to meet or exceed the price paid for the Pack. By purchasing a Pack, you acknowledge that Item values are inherently subjective and subject to change.

Buyer Protection​

GalaxyGrails.io may, on a per-Event basis, enable a Buyer Protection feature for standard Events. When enabled and engaged, the Buyer Protection window restricts Pack purchases during a defined period to users who have already participated in the relevant Event under the eligibility rules disclosed on the Event page. The status of any active Buyer Protection window is displayed on the Event page.

Buyer Protection is a discretionary platform feature. GalaxyGrails.io may adjust, enable, or disable Buyer Protection thresholds, durations, and eligibility rules at its discretion on a per-Event basis. Once a Buyer Protection window has engaged for a specific Event, changes to threshold, duration, or eligibility rules during that window apply prospectively only and will not reduce the eligibility of any user who has already qualified for the window. The presence or absence of a Buyer Protection window does not entitle any user to a refund, credit, or other adjustment of any completed Pack purchase.

Finality of Purchases​

Once a Pack purchase is completed and the corresponding Item is revealed, the transaction is final, the associated digital and custodial components are deemed delivered and accepted, and the purchase is non-refundable except as required by applicable law.

By participating in Pack Events, you understand and agree that your username, Pack pulls, Points balance, leaderboard rank, and related Event activity may be displayed publicly in live streams, Event replays, Event history pages, leaderboards, and fairness tools (including public fairness reports and APIs) available on GalaxyGrails.io.

6. Cards and Authenticity​

All Items on GalaxyGrails.io are:

  • Professionally graded and authenticated by PSA, CGC, or BGS;
  • Stored under GalaxyGrails.io's custodial account in the Vault; and
  • Fully insured while in the Vault under the vault custodian's vault insurance policies.

We do not grade Items ourselves and make no guarantees regarding third-party grading accuracy.

Vault Insurance​

Items stored in the Vault are insured by the vault custodian against loss, damage, or destruction while in vault custody, subject to the vault custodian's Vault Terms and Conditions. The vault custodian's terms govern coverage limits, claims procedures, claims deadlines, and exclusions — please review them directly for current details, as they may be updated from time to time. GalaxyGrails.io will cooperate reasonably to assist you in filing a claim with the vault custodian, but your ultimate recourse is governed by the vault custodian's vault terms and insurance policies.

7. Buyback Program​

After your Item is revealed, you may sell it back to GalaxyGrails.io through the Buyback Program at any time while the Item remains in your Account, subject to the following terms.

Buyback Price​

Each Buyback offer is at the Buyback Price displayed for that Item on the Platform at the applicable time. The Buyback Price is informed by reputable data sources such as CardLadder and other market signals, and is determined by GalaxyGrails.io in its sole discretion. The exact Buyback Price is always displayed before you confirm the sale.

24-Hour Price Lock​

Immediately after an Item is revealed in a Pack, the Buyback Price displayed at that time is locked for 24 hours (the "Buyback Window"). During the Buyback Window, you may accept the Buyback at the locked price. After the Buyback Window expires, the Buyback Price is subject to change based on then-current data and may increase or decrease without notice.

Discretion and No Guarantee​

GalaxyGrails.io makes no guarantee that a Buyback offer will be available for any particular Item at any particular time, or that any Buyback Price will reflect any third-party marketplace price for the same Item. Buyback Prices are estimates based on then-current data and may differ from prices achievable in other marketplaces. GalaxyGrails.io may temporarily or permanently suspend Buyback availability for any Item or category of Items in its sole discretion.

Finality​

Once accepted, Buybacks are final and the resulting funds are credited to your Account Funds. GalaxyGrails.io may, in its sole discretion, reverse a Buyback in the event of fraud, abuse, or chargeback associated with the underlying Pack purchase.

8. Points and Monthly Leaderboard​

GalaxyGrails.io operates a points and monthly leaderboard program (the "Loyalty Program"). Points are an automatic, non-monetary loyalty perk earned in connection with eligible Pack purchases and are subject to the following terms. GalaxyGrails.io may enable or disable the Loyalty Program in its sole discretion at any time.

Earning​

Points are earned automatically when you open Packs using cash from your Account Funds, in amounts proportional to the cash portion of the purchase, in accordance with the then-current earning formula displayed on the Platform. GalaxyGrails.io may also offer occasional daily-claim drips or other promotional point grants in its discretion.

Redemption​

You may redeem Points as a credit toward a future Pack purchase, subject to a minimum redemption threshold and a redemption rate displayed on the Platform at the time of redemption. If your Points balance is sufficient, your Points may cover up to the entire cost of a Pack; however, a Pack purchased entirely with redeemed Points does not earn any additional Points (anti-farming rule). Redemptions are final once submitted.

No Cash Value; Non-Transferable​

Points are a promotional loyalty currency with no cash value. Points cannot be:

  • Withdrawn, redeemed for cash, or converted to Account Funds;
  • Transferred, sold, gifted, or assigned to any other user or account;
  • Combined across accounts; or
  • Inherited or transferred upon death, divorce, dissolution, or business transfer.

Points are not your property and do not give rise to a claim against GalaxyGrails.io, its Affiliates, or its service providers. Points are not FDIC-insured and earn no interest.

Monthly Leaderboard​

The Loyalty Program includes a public monthly leaderboard displaying your username and Points earned during the current calendar month. Leaderboard ranks reset at the start of each calendar month. By participating in the Loyalty Program, you consent to the public display of your username and monthly Points on the leaderboard. To request removal of your username from public leaderboard surfaces, contact [email protected].

Adjustments, Forfeiture, and Termination​

GalaxyGrails.io may, to the maximum extent permitted by applicable law:

  • Modify the earning formula, redemption rate, minimum redemption threshold, or other Loyalty Program rules prospectively, with at least 14 days' notice via email or in-app notice. Bug-fix corrections and changes that increase the rate or threshold favorable to users may take effect immediately.
  • Adjust, claw back, or invalidate Points awarded in error, in connection with a Pack purchase that is later refunded, reversed, charged back, or determined to have been obtained by fraud or abuse.
  • Forfeit a user's Points balance upon suspension, restriction, or termination of the user's Account for a material violation of these Terms. Where account closure is voluntary and the user has not violated these Terms, the user will be given a 30-day window following the closure request to redeem their remaining Points balance under the rules in effect at the time of the request.
  • Suspend, modify, or discontinue the Loyalty Program in whole or in part. If permanently discontinued, GalaxyGrails.io will provide at least 30 days' advance notice during which users may redeem their then-current Points balances under the rules in effect at the time of the announcement.

Tax Treatment​

Points have no cash value at the time of earning. You are solely responsible for determining any tax consequences associated with the redemption of Points against Pack purchases.

9. Account Funds, Payments, and Withdrawals​

All financial transactions on GalaxyGrails.io are handled through Stripe, a licensed payment processor.

Account Funds Features​

Your on-platform balance ("Account Funds") allows you to:

  • Deposit funds via Stripe;
  • Use credits to buy Packs;
  • Receive instant Buyback proceeds; and
  • Withdraw funds to your Stripe-connected account.

Account Funds Limitations​

Account Funds are a closed-loop feature intended solely to facilitate transactions on the GalaxyGrails.io Platform. Account Funds are not a bank account, savings account, or general-purpose money transmission service. Funds held in your Account are not FDIC-insured and will not earn interest or other returns. Account Funds may not be used for peer-to-peer transfers or any purpose other than purchasing Packs or withdrawing to your linked Stripe account. All funds held in your Account are maintained in pooled custodial accounts held by our third-party payment processors on your behalf; GalaxyGrails.io does not take custody of or hold title to your funds.

To withdraw funds, you must maintain a valid, active Stripe account linked to your GalaxyGrails.io Account. If you do not set up or maintain a valid Stripe account, you will be unable to withdraw your funds, and your balance may become subject to applicable state escheatment laws.

Deposit Hold Policy​

As a security measure, new deposits are subject to a 3-calendar-day hold before being eligible for withdrawal. The hold period begins when the deposit is confirmed by Stripe. Deposited funds remain fully usable for Pack purchases on the Platform during the hold; only withdrawal is restricted. We reserve the right to impose longer holds, suspend access to deposits or withdrawals, or require additional verification where we reasonably determine such action is necessary for fraud prevention, risk management, legal compliance, or to satisfy Stripe or other third-party processor requirements.

Taxes​

Sales tax is not collected at the time of purchase for Items held in the Vault, as title and possession of such Items remain with the vault custodian at the time of purchase. You are solely responsible for determining, calculating, and paying all applicable sales, use, income, or other tax obligations arising from your purchase, ownership, or use of Items through the Platform, including any obligations imposed by your state, local, or other applicable jurisdiction. GalaxyGrails.io does not collect, calculate, remit, or advise on taxes of any kind, and nothing in these Terms should be construed as a representation regarding your individual tax obligations. GalaxyGrails.io makes no representation that the tax treatment described herein will remain applicable in the event of future changes to applicable law, regulation, or the structure of the Vault or its custodial arrangements.

IRS Reporting​

Where required by law, GalaxyGrails.io may report payments made to you (including Buyback proceeds and withdrawals) to applicable tax authorities, including the IRS (e.g., via Form 1099-K). You agree to provide accurate tax identification information (including your taxpayer identification number) upon request. Failure to provide required information may result in withholding from your payouts in accordance with applicable law. Where GalaxyGrails.io is required to withhold taxes on your behalf, you authorize us to deduct such amounts from your proceeds.

Fees​

We may charge reasonable processing, service, withdrawal, or shipping fees, which will be disclosed on the Platform, at checkout, or at the time the applicable transaction is initiated. All such fees are due and payable when incurred and, except as required by applicable law, are non-refundable.

Final Sales; No Refunds​

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ALL PURCHASES, FEES, AND OTHER AMOUNTS PAID THROUGH OR IN CONNECTION WITH THE PLATFORM ARE FINAL AND NON-REFUNDABLE. Without limiting the foregoing, once a Pack purchase is completed and/or a corresponding Item is revealed, GalaxyGrails.io shall have no obligation to provide any refund, return, exchange, credit, charge reversal, or offset with respect to that transaction.

Without limiting the generality of the foregoing, no refunds, returns, exchanges, or credits will be issued for buyer's remorse, dissatisfaction with a revealed Item or Event outcome, changes in estimated or market value, failure to understand the nature of the product or Event, failure to use purchased services or features, or suspension, restriction, or termination of your Account arising from your violation of these Terms.

Except as expressly stated in these Terms or as required by applicable law, your sole remedy if you are dissatisfied with the Platform, any purchase, or any feature made available through the Platform is to discontinue use of the Platform. For clarity, nothing in this section limits any non-waivable rights you may have under applicable law, including with respect to unauthorized transactions or bona fide billing errors.

10. Storage and Shipping​

Storage​

Items are stored in the Vault — a climate-controlled, fully insured facility — and remain under GalaxyGrails.io's custodial account until you request shipment or sell the Item back through the Buyback Program.

Shipping​

When you request shipment:

  • You must have completed identity verification (KYC) as described in Section 4 before your first shipment request.
  • The vault custodian fulfills and ships directly to your verified address using insured carriers of the vault custodian's choosing. Shipments include the vault custodian's shipping insurance and may require signature confirmation upon delivery.
  • GalaxyGrails.io does not itself provide shipping updates or select carriers; the vault custodian handles fulfillment logistics.

Risk of Loss​

  • While in vault storage: Items are covered by the vault custodian's vault insurance as described in Section 6. Risk of loss remains with the vault custodian.
  • During shipping: Items shipped by the vault custodian are covered by the vault custodian's shipping insurance while in transit. In the event an Item is lost or damaged during shipping, your recourse is governed by the vault custodian's insurance and claims policies. GalaxyGrails.io will cooperate reasonably to assist you in filing a claim with the vault custodian.
  • Upon delivery: You assume all risk of loss upon confirmed delivery to the address you provided.

Shipping fees vary by destination and carrier and will be disclosed before you confirm your shipment request.

11. Promotions and Giveaways​

Occasionally, GalaxyGrails.io may host promotions or sweepstakes.

  • Each promotion will include official rules and, where required, an Alternate Method of Entry (AMOE).
  • No purchase is necessary to enter where prohibited by law.

12. Acceptable Use Policy​

You may not:

  • Use bots, automation, or scripts to purchase Packs or influence Item selection;
  • Engage in fraud, chargeback abuse, or money laundering;
  • Manipulate Event fairness, tax obligations, or pricing;
  • Manipulate the Buyback Price of any Item or interfere with any other user's purchases or pulls;
  • Use any deep-link, page-scrape, robot, spider, scraper, or other automatic or manual device, program, algorithm, or methodology to access, acquire, copy, or monitor any portion of the Platform or its content, or to circumvent the navigational structure or presentation of the Platform;
  • Reproduce, frame, mirror, or commercialize any portion of the Platform without our prior express written consent;
  • Modify, adapt, translate, or reverse engineer any portion of the Platform;
  • Attempt to gain unauthorized access to any accounts, features, systems, or networks through hacking, password mining, or any other means;
  • Circumvent or attempt to circumvent any security or authentication measures implemented by us or on our behalf;
  • Forge headers or otherwise manipulate identifiers;
  • Transmit any viruses, worms, defects, Trojan horses, time bombs, cancel-bots, corrupted files, or other items of a destructive nature;
  • Interfere with or attempt to disrupt the operation of the Platform, including any act that could disrupt, damage, disable, overburden, or impair the systems, servers, or networks used to make the Platform available;
  • Harass other users or post unlawful content;
  • Create multiple accounts to evade limits or bans; or
  • Create or use multiple accounts to manipulate taxable values, transfer items at artificially low prices, or otherwise circumvent tax reporting obligations.

GalaxyGrails.io reserves the right to investigate and report any suspicious activity — including patterns consistent with tax evasion, structuring, or money laundering — to the appropriate tax authorities or law enforcement agencies.

Violations may result in suspension, restriction, or termination of your Account, the withholding of items or funds to the extent permitted by applicable law, and referral to payment processors or law enforcement where appropriate. For clarity, initiating a chargeback for a legitimate billing error or unauthorized transaction does not constitute chargeback abuse; abuse refers to the intentional misuse of the chargeback process to obtain money, goods, services, or credits without a valid dispute basis.

Chargebacks, Disputes, and Forfeiture​

1. Right to Dispute​

Nothing in these Terms is intended to limit any non-waivable legal right you may have to dispute an unauthorized transaction or bona fide billing error with your card issuer or payment processor.

2. Account and Item Hold​

If you initiate a chargeback, payment reversal, ACH return, or similar dispute after completing a purchase, funding your Account, accepting a Buyback, or completing a Pack reveal, GalaxyGrails.io may, in its sole discretion and to the maximum extent permitted by applicable law:

  • Temporarily or permanently suspend, restrict, or terminate your Account.
  • Place a hold on your Account Funds, withdrawals, Buyback proceeds, shipments, or other Account functionality.
  • Hold, withhold, delay release of, or seek recovery of any Items associated with your Account pending final resolution.
  • Pursue reimbursement, collections, and any other remedies available at law or in equity for losses, fees, chargeback costs, and related expenses arising from the dispute.

3. Digital Goods and Custodial Allocation​

Completion of a Pack reveal constitutes acceptance and delivery of the digital component and acceptance of the corresponding custodial allocation of the associated Item.
Any dispute initiated after such completion will be treated as a dispute concerning goods and services already delivered, and the related items and Account benefits may remain subject to hold, forfeiture, recovery, or denial of release pending resolution.

4. Physical Goods​

If a dispute results in a net financial loss to GalaxyGrails.io and the associated Items have already been shipped, you agree that:

  • The Items were received without payment.
  • You remain liable for the full amount owed in connection with those Items, including their market value at the time of shipment, as reasonably determined using reputable pricing sources (e.g., CardLadder), together with applicable shipping charges and reasonable collection costs, attorneys' fees, and expenses to the extent permitted by law.
  • GalaxyGrails.io may pursue collection, recovery, and any other remedies available at law or in equity.

5. Dispute Resolution​

In evaluating whether a dispute constitutes friendly fraud, abuse of the dispute process, or an improper chargeback, GalaxyGrails.io may consider, among other things:

  • Delivery confirmation, custodial allocation, or other evidence of fulfillment of items or services (physical or digital)
  • Your acceptance of these Terms, including the final sale and no-refund provisions
  • Continued account activity related to disputed items, proceeds, or account benefits
  • Communications with you, Stripe, or other payment processors
  • Any evidence of unauthorized use, billing error, or other valid dispute basis

13. Intellectual Property​

All site content, software, logos, and media (other than third-party content described below) belong to GalaxyGrails.io LLC or its licensors.
You receive a limited, non-transferable, revocable license to access and use the Platform solely for its intended purpose.

You may not copy, modify, distribute, or exploit GalaxyGrails.io content without prior written permission.

Card Imagery and Third-Party Intellectual Property​

Card names, images, characters, and likenesses displayed on the Platform are the property of their respective rights-holders, which may include Nintendo Co., Ltd., The Pokémon Company International, Inc., Game Freak Inc., Creatures Inc., and other third parties.

GalaxyGrails.io uses such imagery solely to identify graded trading cards held in custodial storage in the Vault, and to facilitate the lawful resale or transfer of such physical cards to authenticated buyers under the First Sale Doctrine (17 U.S.C. §109) and analogous trademark fair-use principles. Nothing on the Platform conveys any rights in any third-party intellectual property to any user. Shipment of a physical Item does not transfer any underlying copyright, trademark, publicity, or other intellectual property rights in the Item's design.

GalaxyGrails.io is not affiliated with, sponsored by, or endorsed by Nintendo, The Pokémon Company International, Game Freak, Creatures, or any other third-party rights-holder referenced on the Platform.

14. Third-Party Services​

We rely on:

  • Stripe for payment processing and identity verification; and
  • Our vault custodian for Item storage and fulfillment.

Their performance, policies, and availability are beyond our control. Use of their services is governed by their own terms and privacy policies. Their published terms and policies — including with respect to vault insurance, biometric data retention, and shipping insurance — may be updated by them from time to time. Please review them directly for current details.

15. User Content, Live Chat, and Feedback​

License​

If you post messages, reactions, usernames, or other content ("User Content") to the live chat, Event pages, leaderboards, or any other feature of the Platform, you grant GalaxyGrails.io a non-exclusive, royalty-free, fully paid-up, worldwide, sublicensable, assignable, perpetual, and irrevocable license to host, store, reproduce, display, modify, moderate, create derivative works from, and distribute that User Content in connection with operating, promoting, and improving the Platform (including in live streams, Event replays, archived Event history, and marketing materials). To the extent permitted by applicable law, you waive any moral rights, rights of publicity, or similar non-assignable rights in User Content as against GalaxyGrails.io.

Acceptable Chat Conduct​

You are solely responsible for User Content you post. You agree not to post content that:

  • Is unlawful, harassing, threatening, abusive, defamatory, obscene, or hateful;
  • Infringes the intellectual property, privacy, publicity, or other rights of any person;
  • Contains spam, advertising, off-platform solicitations, referral links, or links to competing platforms;
  • Impersonates another user, a GalaxyGrails.io team member, or any other person;
  • Attempts to coordinate market manipulation, collusion, or Buyback timing schemes;
  • Contains malware, scripts, or other code intended to disrupt the Platform or other users; or
  • Discloses any other user's personal information without their consent.

No Obligation to Monitor; Discretionary Moderation​

GalaxyGrails.io has the right, but no obligation, to monitor, screen, edit, or remove User Content. Any moderation actions GalaxyGrails.io takes — including profanity filtering, link filtering, timeouts, mutes, bans, message deletion, or chat cooldowns — are discretionary and do not transform GalaxyGrails.io into a publisher or speaker of any User Content. By using the Platform, you acknowledge that User Content reflects the views of individual users and not of GalaxyGrails.io. GalaxyGrails.io may retain moderation logs for fraud prevention, dispute resolution, and legal compliance purposes.

No Employee Statements​

Personnel and employees of GalaxyGrails.io are not authorized to make any statement, representation, or warranty contrary to these Terms. No statement made by any GalaxyGrails.io employee, contractor, agent, streamer, or representative — whether in chat, on social media, on a live stream, or otherwise — constitutes a representation, warranty, or modification of these Terms unless made in writing and signed by an authorized officer of GalaxyGrails.io LLC.

Feedback​

Any suggestions, ideas, or feedback you provide regarding the Platform are non-confidential, and you assign to GalaxyGrails.io all rights, including intellectual property rights, in such feedback. GalaxyGrails.io may use it without obligation to you.

We make no warranties—express or implied—regarding accuracy, uninterrupted access, market value, or that any Pack will yield profit. Item values are inherently subjective, subject to change, and may be volatile. Factors outside our control—including market sentiment, collector demand, or broader economic conditions—may cause values to change suddenly without notice. Estimated values displayed on the Platform represent point-in-time estimates only and may not reflect what an Item could achieve in any third-party marketplace.

Participation is for collecting and entertainment purposes only. Every Pack purchase results in the delivery of a real, professionally graded trading card. It is your responsibility to determine whether your use of the Platform is lawful in your jurisdiction. We reserve the right to restrict, suspend, or terminate access from any state, territory, or jurisdiction where the Platform's features may not be permitted under applicable law, including in response to changes in legislation or regulatory guidance.

No Legal, Financial, or Tax Advice. Nothing in these Terms or on the Platform constitutes legal, financial, or tax advice. Neither GalaxyGrails.io nor any of its Affiliates or staff has acted as your attorney, financial advisor, or tax advisor in connection with your use of the Platform. You are encouraged to consult your own advisors before participating.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ALL IMPLIED WARRANTIES — INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT — ARE HEREBY DISCLAIMED AND EXCLUDED.

18. Limitation of Liability​

18.1 Disclaimer of Indirect Damages​

NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, AND TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL GALAXYGRAILS.IO LLC, ITS AFFILIATES, OR ANY OF ITS OR THEIR RESPECTIVE EMPLOYEES, OFFICERS, DIRECTORS, OR AGENTS BE LIABLE TO YOU OR ANY OTHER PARTY, UNDER ANY CIRCUMSTANCES OR LEGAL OR EQUITABLE THEORY, FOR ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, EXEMPLARY, OR CONSEQUENTIAL DAMAGES, INCLUDING BUT NOT LIMITED TO: LOSS OF DATA, LOSS OF MONEY, LOSS OF GOODWILL OR REPUTATION, LOST PROFITS, BUSINESS INTERRUPTION, COSTS OF DELAY, OTHER INTANGIBLE LOSSES, OR ANY INTRINSIC OR SENTIMENTAL VALUE OF AN ITEM, INCLUDING WITHOUT LIMITATION ANY CLAIM FOR PERSONAL INJURY, BODILY INJURY, EMOTIONAL DISTRESS, DEATH, OR REAL OR PERSONAL PROPERTY DAMAGE — EVEN IF GALAXYGRAILS.IO HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

18.2 Aggregate Cap​

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE MAXIMUM AGGREGATE LIABILITY OF GALAXYGRAILS.IO LLC AND ITS AFFILIATES TO YOU OR ANY THIRD PARTY FOR WHOM YOU MAY BE ACTING, ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM, FROM ALL CLAIMS IN THE AGGREGATE, SHALL NOT EXCEED:

  • WITH RESPECT TO A CLAIM ARISING FROM A SPECIFIC ITEM THAT HAS BEEN SOLD BY YOU THROUGH THE BUYBACK PROGRAM, THE NET BUYBACK PROCEEDS RECEIVED BY YOU FOR THAT ITEM; AND
  • WITH RESPECT TO ANY OTHER CLAIM, THE GREATER OF (A) THE TOTAL AMOUNT PAID BY YOU TO GALAXYGRAILS.IO IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) FIVE HUNDRED U.S. DOLLARS ($500).

18.3 Non-Waivable Rights​

NOTHING IN THIS SECTION 18 LIMITS ANY LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

18.4 Survival​

This Section 18 survives termination of these Terms or of your Account.

18.5 Essential Bargain​

The parties agree that the limitations in this Section 18 are an essential basis of the bargain between them, that the fees charged for the Platform reflect this allocation of risk, and that these limitations will apply even if any limited remedy is found to have failed of its essential purpose.

19. Indemnification​

You agree to indemnify, hold harmless, and defend GalaxyGrails.io LLC, its Affiliates, and their respective directors, officers, and employees from all claims, costs, losses, damages, fees, fines, penalties, and other liabilities brought against any of the foregoing by any third party arising out of or relating to:

  • Your use or misuse of the Platform;
  • Your breach of these Terms, including any breach of representations and warranties;
  • Any violation of law or regulation or the rights of any third party; or
  • Your negligence, willful misconduct, or fraud.

GalaxyGrails.io will have the right to select its own counsel and to control the defense or settlement of any claim. This indemnification obligation expressly survives the completion of any transaction and the termination of your Account in perpetuity.

20. Arbitration and Dispute Resolution​

PLEASE READ THIS SECTION CAREFULLY — IT AFFECTS YOUR RIGHTS.

By accepting these Terms, you and GalaxyGrails.io LLC agree to the terms and conditions of this dispute resolution process and arbitration agreement (the "Arbitration Agreement"). That means we are agreeing to resolve any and all disputes between us or claims and/or causes of action between us (each, a "Claim") through binding individual arbitration or small claims dispute procedures (unless you opt out), and are also agreeing to waive the right to a jury trial and to participate in any class action.

20.1 Scope; Federal Arbitration Act​

EXCEPT AS DISCUSSED BELOW, ANY AND ALL CLAIMS OR DISPUTES ARISING OUT OF OR RELATING TO THESE TERMS, THE PRIVACY POLICY, YOUR USE OF THE PLATFORM, OR YOUR RELATIONSHIP WITH GALAXYGRAILS.IO WILL BE RESOLVED THROUGH BINDING INDIVIDUAL ARBITRATION OR IN SMALL CLAIMS COURT. The parties agree that this Arbitration Agreement affects interstate commerce so that the Federal Arbitration Act and federal arbitration law, not state law, apply and govern the enforceability of this dispute resolution process. THERE IS NO JUDGE OR JURY IN ARBITRATION, AND COURT REVIEW OF AN ARBITRATION AWARD IS LIMITED. The arbitrator must follow this Arbitration Agreement and may award the same damages and injunctive relief as a court.

The arbitrator (and not any court) shall have exclusive authority to resolve any dispute relating to the interpretation, applicability, enforceability, or formation of this Arbitration Agreement, including any claim that all or any part of this Arbitration Agreement is void or voidable.

20.2 Right to Opt Out​

YOU MAY OPT OUT OF THIS ARBITRATION AGREEMENT BY EMAILING [email protected] WITH THE SUBJECT LINE "Opt-Out of Arbitration" WITHIN 30 DAYS AFTER THE DATE YOU FIRST BECOME BOUND BY THIS ARBITRATION AGREEMENT (THE "OPT OUT DEADLINE"). Your opt-out email must include: (i) your name; (ii) your address; (iii) your phone number; and (iv) a clear statement that you wish to opt out of this Arbitration Agreement. Any opt-out notice received after the Opt Out Deadline will not be valid. Opting out of this Arbitration Agreement has no effect on any other arbitration agreement you may currently have with us, and does not opt you out of any earlier version of this Arbitration Agreement.

20.3 Informal Resolution; Notice of Dispute​

You and GalaxyGrails.io agree to try to resolve any Claim informally before filing a formal proceeding. Before filing a demand for arbitration or small claims action, you must first send GalaxyGrails.io, by email to [email protected] with the subject line "Notice of Dispute", a written Notice of Dispute (the "Notice"). The Notice must include:

(i) your name;
(ii) your contact information (email address, physical address, and phone number);
(iii) a summary of your Claim;
(iv) a detailed listing of the Pack purchase(s), Item(s), Buyback(s), or other transaction(s) at issue, including order numbers, Pack Event IDs, pull IDs, and grading certification numbers where applicable; and
(v) a reasonably detailed calculation of your alleged damages.

You and GalaxyGrails.io agree to negotiate in good faith for at least 60 days after the Notice is received in an effort to resolve the Claim. You may not start a formal proceeding (arbitration or small claims) until this 60-day informal resolution period has expired. Compliance with this Section 20.3 is a mandatory condition precedent to any formal proceeding.

20.4 Formal Resolution​

If a Claim is not resolved informally under Section 20.3, then either party may seek formal resolution by:

(a) filing a Demand for Arbitration with the American Arbitration Association ("AAA"), with a copy to the other party, under AAA's Consumer Arbitration Rules, Commercial Arbitration Rules, or Mass Arbitration Supplementary Rules, as applicable to the dispute (the "AAA Rules"); or (b) filing a claim in small claims court for any Claim within the jurisdictional limit of that court.

Where any of the AAA Rules conflict with the terms of this Arbitration Agreement, the terms of this Arbitration Agreement control. The Arbitration Agreement is retroactive in effect and applies to all Claims regardless of whether they accrued before or after the effective date of these Terms.

The arbitration will be conducted by a single arbitrator selected by the following procedure: (i) AAA will send the parties a list of five candidates; (ii) if the parties cannot agree on a candidate, each party may strike up to two candidates from the list and rank the remaining candidates by order of preference within 14 days; (iii) AAA will appoint as arbitrator the candidate with the highest combined ranking; and (iv) if appointment cannot be made under this procedure, AAA shall have discretion to appoint an arbitrator of its choosing.

The arbitrator may award any relief available in court, including injunctive or declaratory relief and attorneys' fees, but only on an individual basis as provided in Section 20.6.

20.5 Fees and Attorneys' Fees​

GalaxyGrails.io will pay or reimburse all AAA filing, administration, and arbitrator fees in arbitrations that AAA determines are consumer arbitrations. In addition, for Claims under $75,000 as to which you provided a compliant Notice and negotiated in good faith under Section 20.3, if the arbitrator finds that you are the prevailing party in the arbitration, you will be entitled to recover reasonable attorneys' fees and costs.

However, if the arbitrator finds that either the substance of a Claim or the relief sought was frivolous or brought for an improper purpose (as measured by the standards in Federal Rule of Civil Procedure 11(b)), then GalaxyGrails.io will not pay or reimburse the AAA filing, administration, and arbitrator fees (which will otherwise be governed by AAA Rules), will not pay your attorneys' fees and costs, and may seek an award of its legal fees or costs against you and/or your counsel. Except for Claims determined to be frivolous or brought for an improper purpose, GalaxyGrails.io agrees not to seek recovery of its attorneys' fees from you even where it might otherwise be permitted under applicable law.

20.6 Class Action Waiver; Public Injunctive Relief​

YOU AND GALAXYGRAILS.IO AGREE THAT FOR ANY PROCEEDINGS, WHETHER BROUGHT IN ARBITRATION OR COURT, CLAIMS MAY BE BROUGHT ONLY IN AN INDIVIDUAL CAPACITY AND IN THE NAME OF AN INDIVIDUAL PERSON OR ENTITY AND THAT CLAIMS MUST PROCEED ON A NON-CLASS AND NON-REPRESENTATIVE BASIS. THAT MEANS YOU AND GALAXYGRAILS.IO WAIVE THE RIGHT TO BRING A CLASS ACTION AND CANNOT ARBITRATE ANY CLAIM AS A REPRESENTATIVE OR NON-REPRESENTATIVE MEMBER OF A CLASS. Furthermore, you and GalaxyGrails.io agree that neither party may pursue Claims in arbitration as a class or collective action, private attorney general action, or other representative action. The AAA Rules for Class Actions will not apply to our arbitration. If you opt out of this Arbitration Agreement as described in Section 20.2, this class action waiver will not apply to you. Neither you, nor any other individual, can be a class representative or class member in a class, consolidated, or representative proceeding without having complied with the opt-out requirements in Section 20.2.

For the avoidance of doubt, nothing contained in this Section 20.6 bars you from seeking public injunctive relief (such as under California's Consumer Legal Remedies Act and California's Unfair Competition Law, to the extent relief is available under those statutes) in the arbitration or bars the arbitrator from awarding such relief.

20.7 Batch Arbitration​

To increase the efficiency of administration and resolution of arbitrations, you and GalaxyGrails.io agree that in the event there are twenty-five (25) or more individual arbitrations of a substantially similar nature filed against GalaxyGrails.io by or with the assistance of, or in a coordinated manner by, the same law firm, group of law firms, or organizations (collectively, "Claimant's Counsel"), within a reasonably proximate period of time, AAA's Mass Arbitration Supplementary Rules and the related Fee Schedule shall apply to those arbitrations, except as otherwise set forth below.

AAA shall: (i) administer the arbitrations in batches of 100 arbitrations per batch (or, if between 25 and 99 individual arbitrations are filed, a single batch of all those arbitrations, and, to the extent there are less than 100 arbitrations remaining after the batching described above, a final batch consisting of the remaining arbitrations); (ii) appoint one arbitrator for each batch; and (iii) provide for the resolution of each batch on a consolidated basis with one set of filing and administrative fees due per batch, one procedural calendar, one hearing (if any) in a place to be selected by Claimant's Counsel or, if Claimant's Counsel does not have a preference, by the arbitrator, and one final award, which will provide for any and all relief to which the arbitrator determines each individual party is entitled (the "Batch Arbitration Process").

The parties agree they will jointly select a single batch (the "First Batch") to proceed prior to the remaining batches (the "Remaining Batches"). In the event the parties cannot agree on the First Batch, AAA shall select the First Batch. The Remaining Batches shall remain stayed pending the resolution of the First Batch, and any applicable limitations periods (including statutes of limitations) for the Remaining Batches shall be tolled pending the resolution of the First Batch. After resolution of the First Batch, if the parties are unable to informally resolve the Remaining Batches, they shall participate in a global mediation session with a retired federal or state court judge to be jointly selected by counsel for the parties in an effort to resolve the Remaining Batches. GalaxyGrails.io shall pay the mediator's fee. If the parties cannot resolve the Remaining Batches after the global mediation session, AAA shall administer the Remaining Batches concurrently, to the extent possible.

The parties agree that arbitrations are of a "substantially similar nature" if they arise out of or relate to the same event or factual scenario and raise the same or similar legal issue(s) and seek the same or similar relief. To the extent the parties disagree on the application of the Batch Arbitration Process, the appointed Process Arbitrator (under AAA's Mass Arbitration Supplementary Rules) shall determine the applicability of the Batch Arbitration Process. This Batch Arbitration Process shall in no way be interpreted as authorizing a class, collective, or representative arbitration or action of any kind.

20.8 Small Claims Election​

If a Claim could have been brought in small claims court (i.e., does not exceed the jurisdictional limit of that court), then either you or GalaxyGrails.io may elect to have the Claim heard in small claims court rather than in arbitration, at any time before the arbitrator is appointed, by notifying the other party of that election in writing.

20.9 Jury Trial Waiver​

If a Claim proceeds in court rather than arbitration (including in small claims court), YOU AND GALAXYGRAILS.IO EACH STILL WAIVE ANY RIGHT TO A JURY TRIAL.

20.10 Severability​

If any part of this Arbitration Agreement is held invalid and unenforceable, that part may be severed from the rest of the Arbitration Agreement, except that if Section 20.6 (Class Action Waiver) is held invalid and unenforceable as to a Claim seeking class-action or representative relief, then the entirety of this Arbitration Agreement (excluding Section 20.6) shall be deemed inapplicable to that Claim, which shall instead proceed in a court of competent jurisdiction in Wilmington, Delaware. You and GalaxyGrails.io agree that any ruling allowing any claimant to seek relief for other persons in a representative capacity would be contrary to the parties' intent and would require immediate judicial review.

21. Force Majeure​

We are not liable for delays or failures caused by circumstances beyond our reasonable control, including but not limited to natural disasters, internet outages, labor disputes, government actions, pandemics, or third-party service failures. Payment obligations are not excused by force majeure.

22. Termination, Account Closure, and Data Erasure​

Termination by GalaxyGrails.io​

We may suspend or terminate your Account at any time, for any reason, including suspected fraud, legal compliance, or policy violations.

Upon termination, your right to use the Platform ceases immediately. Account Funds not subject to a pending hold are immediately eligible for withdrawal. Any funds still under the 3-calendar-day deposit hold at the time of termination will become eligible for withdrawal once the hold period expires. Unclaimed Account balances remaining 180 days after account termination may be subject to applicable state unclaimed property (escheatment) laws.

Voluntary Closure and Right to Erasure​

You may request closure of your Account, and where applicable deletion of your personal information, at any time by emailing [email protected] with the subject line "Account Closure Request" or "Data Deletion Request." Before we can close your Account or process an erasure request, you must withdraw your Account Funds balance, accept the Buyback or ship any Items remaining in vault custody under your Account, and resolve any pending disputes.

Once these prerequisites are complete, an authorized GalaxyGrails.io administrator will process the erasure, which removes or scrambles personal information associated with your Account (including name, email, username, password hash, profile picture, referral code, and identity-verification session identifiers) and revokes all active sessions. Certain records — including financial transactions, deposits, withdrawals, Buybacks, disputes, pull history, shipments, chat moderation logs, and identity-verification results — are retained as required by tax, anti-money-laundering, payment-processor, and other legal obligations. Business Cessation​

In the event GalaxyGrails.io ceases operations or is unable to continue providing the Platform, we will make commercially reasonable efforts to provide at least 30 days' advance notice via email to all registered users. Following such notice, you will have a period of 90 days to:

  • Withdraw your Account Funds to your linked Stripe account; and
  • Request shipment of any Items held in the Vault under your Account (subject to applicable shipping fees and completed KYC verification as described in Section 4).

Items not claimed within the 90-day period will remain in the Vault and will be handled in accordance with the vault custodian's policies and applicable state unclaimed property (escheatment) laws. GalaxyGrails.io will cooperate reasonably with the vault custodian to facilitate the transfer or return of unclaimed assets. This provision does not create any obligation for GalaxyGrails.io to continue operations and does not guarantee the availability of all Platform features during the wind-down period.

23. Updates to Terms​

We may update or modify these Terms at any time. For material changes, we will provide at least 14 days' advance notice via email or a prominent notice on the Platform before the changes take effect. Non-material changes (such as corrections or clarifications) may take effect immediately. Your continued use of the Platform after the effective date of any update constitutes your acceptance of the revised Terms. If you do not agree to an update, you must stop using the Platform before the effective date.

We may also, from time to time and at our sole discretion, modify, suspend, interrupt, or discontinue all or any portion of the Platform — including features, content, services, or availability — for maintenance, error correction, security, business, or any other reason, with or without notice and without liability to you. Updates to mobile applications may be downloaded and installed automatically and may reduce or remove features and functionality in prior versions.

24. Miscellaneous​

Governing Law​

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-law principles.

Entire Agreement​

These Terms and our Privacy Policy form the full agreement between you and GalaxyGrails.io and supersede any prior or contemporaneous understandings, representations, or agreements relating to the subject matter hereof.

Assignment​

You may not assign any of your rights or obligations under these Terms. GalaxyGrails.io may assign these Terms freely, including in connection with a merger, acquisition, sale of assets, or reorganization.

No Waiver; Severability​

Failure to enforce a provision is not a waiver. If any provision is held invalid or unenforceable, the remainder of these Terms will continue in full force.

Survival​

The following provisions shall survive termination of these Terms or of your Account: Section 8 (Loyalty Program adjustments and forfeiture rules), Section 9 (Account Funds Limitations, Taxes, IRS Reporting, Fees, Final Sales), Section 13 (Intellectual Property), Section 15 (User Content license, Feedback, No Employee Statements), Section 17 (Disclaimers), Section 18 (Limitation of Liability), Section 19 (Indemnification), Section 20 (Arbitration and Dispute Resolution), Section 22 (Termination, Account Closure, and Data Erasure), Section 24 (Miscellaneous), Section 27 (Referral Program clawback, independent-contractor, and tax provisions), and any other provisions that by their nature should survive.

Nothing in these Terms creates an employer/employee, joint venture, fiduciary, agency, or partnership relationship between you and GalaxyGrails.io or any of its Affiliates.

Inactivity​

Accounts with no login activity for 24 consecutive months may be reviewed for closure. Any remaining eligible Account balance will be handled in accordance with applicable state unclaimed property (escheatment) laws.

Notices​

You consent to receive all notices electronically. Notices from GalaxyGrails.io to you will be sent to the email address on file and are deemed received on the day of delivery by email. Notices from you to GalaxyGrails.io — including any Notice of Dispute or arbitration opt-out under Section 20 — must be sent to [email protected] (using the subject line required by the applicable Section, where one is specified) or to the mailing address listed in Section 25.

Apple and Google Application Stores​

If you access the Platform through an application provided via Apple's App Store or Google Play, you acknowledge that Apple Inc. ("Apple") and Google LLC ("Google") and their respective subsidiaries are third-party beneficiaries of these Terms with respect to the applications. However, Apple and Google are not parties to these Terms and are not responsible for the provision or support of the applications. You acknowledge that Apple and Google are not responsible for addressing any claims by you or any third party relating to the applications or your possession or use of the applications, including: (i) product liability claims; (ii) any claim that the application fails to conform to any applicable legal or regulatory requirement; and (iii) claims arising under consumer protection, privacy, or similar legislation. You further acknowledge that in no event shall Apple or Google be responsible for the investigation, defense, settlement, or discharge of any third-party claim that the application infringes that third party's intellectual property rights.

Export Control; OFAC​

Software and other materials available through the Platform may be subject to United States export control laws. You agree that you will not access or use the Platform: (i) from Cuba, Iran, North Korea, Syria, the Crimea, Donetsk, or Luhansk regions of Ukraine, or any other country or territory subject to U.S. embargo or comprehensive sanctions; or (ii) if you are a person on the U.S. Treasury Department's List of Specially Designated Nationals and Blocked Persons (SDN List) or the U.S. Commerce Department's Denied Persons List. You represent and warrant that you are not so located or listed.

California Civil Code Section 1542 Waiver​

With respect to any release granted in these Terms, you expressly waive the provisions and protections of California Civil Code Section 1542, which provides:

"A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party."

You acknowledge that you have read and understand this waiver and the consequences of waiving Section 1542.

26. Affiliation Disclaimer​

GalaxyGrails.io is operated by GalaxyGrails.io LLC and is not affiliated with, sponsored by, or endorsed by Professional Sports Authenticator (PSA), Certified Guaranty Company (CGC), Beckett Grading Services (BGS), or any other grading or vault service referenced on the Platform. Storage and fulfillment are facilitated through a third-party vault custodian. Card-imagery and third-party-IP disclaimers are addressed in Section 13.

27. Referral Program​

GalaxyGrails.io may offer a referral program (also referred to as our affiliate program) that allows eligible users ("Referrers") to earn commissions or other rewards for referring new users or transactions to the Platform. Participation in the Referral Program is optional and subject to these Terms and any additional referral-specific terms, policies, or guidelines we publish (collectively, the "Referral Terms").

Any referral signup bonus, welcome bonus, or similar promotional credit granted in connection with the Referral Program is promotional only and non-transferable. Promotional credits must be used to make at least one purchase on the Platform before any Account Funds (including the credited amount) become eligible for withdrawal.

Commissions​

Commissions, when confirmed, are credited to your Account Funds and are subject to the same identity-verification, hold, and withdrawal terms as other Account Funds (Section 9). Commissions are earned only on qualifying transactions as described on the Platform, may be subject to a holding period before becoming available for withdrawal, and may be capped per referred user. Commission rates, caps, holding periods, and eligibility rules are displayed on the Platform and may be modified prospectively. GalaxyGrails.io does not guarantee any level of referral earnings. Creating or using multiple accounts, or referring yourself, to generate commissions or bonuses is prohibited and may result in forfeiture of commissions and the actions described in Section 12.

Eligibility and Conduct​

To participate as a Referrer, you must be at least 18 years old, comply with all applicable laws (including advertising, consumer protection, and tax laws), and follow all Referral Terms we provide. Referrers are independent contractors, not employees, partners, or agents of GalaxyGrails.io, and may not represent that they are authorized to bind GalaxyGrails.io in any way.

You agree that any promotional content, posts, or reviews you share in connection with the Referral Program will be truthful, not misleading, and will include any legally required disclosures of your relationship with GalaxyGrails.io (for example, clear statements that you may receive commissions from qualifying purchases), in accordance with the FTC Endorsement Guides and similar regulations.

Taxes​

Referral commissions may constitute taxable income to you. You are solely responsible for any taxes on commissions you earn. Where required by law, GalaxyGrails.io may report commissions paid to you to applicable tax authorities (for example, on IRS Form 1099-NEC or 1099-MISC) and may require a completed Form W-9 or other taxpayer identification information before paying commissions. We may withhold or delay commissions pending receipt of required tax information.

We reserve the right, in our sole discretion, to approve, deny, or terminate your participation as a Referrer; to withhold or cancel commissions we reasonably believe are associated with fraud, abuse, policy violations, or chargebacks; and to modify or discontinue the Referral Program at any time, with or without notice.
